Our terms and conditions

These terms are a template agreement for Elemeno Ltd, company number 15541721, registered in England. Elemeno Ltd operates the Service under The Resume Parser branding. These terms should be reviewed by a qualified solicitor before launch.

1. Who we are

These Terms and Conditions apply to your access to and use of The Resume Parser website, dashboard, API, documentation, resume parsing services, integrations, support services, and related features (the "Service").

Elemeno Ltd is a company registered in England under company number 15541721. Elemeno Ltd operates the Service under The Resume Parser branding. In these terms, "Elemeno", "The Resume Parser", "we", "us", and "our" mean Elemeno Ltd. "Customer", "you", and "your" mean the person or organisation using the Service.

If you use the Service for an organisation, you confirm that you have authority to bind that organisation to these terms.

2. The Service

The Service provides a developer-facing API and dashboard for parsing resumes, CVs, job-related documents, and related text into structured data. Parsed documents may contain personal data and other confidential information.

We may improve, modify, suspend, or discontinue parts of the Service from time to time. Where a material change is likely to negatively affect active paid customers, we will give reasonable notice where practicable.

We do not provide employment, recruitment, immigration, financial, legal, or compliance advice. Outputs are generated for your review and integration, and you remain responsible for decisions made using those outputs.

3. Accounts and API keys

You must provide accurate account, billing, and contact information and keep it up to date.

You are responsible for keeping passwords, sessions, API keys, and other credentials secure. API keys must not be exposed in client-side code, public repositories, logs, browser storage, or any place where unauthorised people can access them.

You are responsible for all activity under your account and API keys, including activity by your employees, contractors, systems, and integrations. Tell us promptly if you suspect unauthorised access.

4. Customer data and personal data

You retain ownership of the files, text, prompts, job descriptions, metadata, parsed JSON, and other data you submit to or receive from the Service ("Customer Data").

You grant us a limited licence to host, copy, transmit, parse, secure, troubleshoot, and otherwise process Customer Data only as needed to provide, maintain, protect, and improve the Service, comply with law, and enforce these terms.

You must have all notices, consents, lawful bases, permissions, and rights needed to submit Customer Data to the Service, especially where resumes or CVs include names, contact details, addresses, employment history, education history, identifiers, or other personal data.

Unless expressly agreed in writing, you must not submit special category data, criminal offence data, children's data, national insurance numbers, passport numbers, financial account details, or health data except where that information is incidentally present in a resume and you have a lawful basis for processing it.

5. Data processing roles

For account, billing, website, support, security, and product administration data, we normally act as an independent controller.

For personal data contained in resumes, CVs, job descriptions, API payloads, parse results, and related Customer Data that we process on your behalf, you are normally the controller and we are normally the processor under UK GDPR and the Data Protection Act 2018.

Where required, the parties will enter into a data processing agreement. If there is a conflict between these terms and a signed data processing agreement, the signed data processing agreement controls for the processing of Customer Data.

6. Acceptable use

You must not use the Service unlawfully, deceptively, harmfully, or in a way that infringes rights or breaches privacy, employment, anti-discrimination, equality, data protection, or marketing laws.

You must not reverse engineer the Service, scrape non-public areas, interfere with service operation, bypass usage limits, resell the Service without written permission, run unauthorised security testing, upload malware, or use the Service to build a competing model or service.

You must not use outputs as the sole basis for automated decisions that produce legal or similarly significant effects on individuals unless you have implemented all required safeguards and human review under applicable law.

7. Plans, credits, billing, and taxes

Paid plans, credits, quotas, rate limits, page limits, and feature limits are described on our pricing pages, order forms, dashboard, or documentation. Credits reset at the start of each billing cycle unless we state otherwise.

Fees are payable in advance and are exclusive of VAT and other taxes unless stated otherwise. You authorise our payment processor to charge your selected payment method for recurring fees and applicable taxes.

Unless required by law or expressly stated in an order form, fees are non-refundable. We may change pricing or plan features by giving reasonable notice before the next renewal period.

8. Availability, support, and beta features

We aim to provide a reliable API, but the Service is provided on an "as available" basis unless a separate service level agreement applies.

We may throttle, suspend, or reject requests to protect the Service, enforce rate limits, prevent abuse, respond to security issues, or comply with law.

Preview, beta, trial, and experimental features may be changed or withdrawn at any time and may be less reliable than generally available features.

9. Security and retention

We use technical and organisational measures designed to protect Customer Data, including encrypted transport, access controls, monitoring, and secure infrastructure practices.

Input files, parse results, logs, backups, and account data are retained according to our published retention documentation, your account settings, any agreed data processing terms, and legal requirements.

You are responsible for securely storing exports and API responses in your own systems, limiting staff access, and deleting personal data when you no longer need it.

10. Intellectual property

We and our licensors own the Service, software, API, models, documentation, designs, trademarks, and all related intellectual property.

Subject to these terms, we grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Service for your internal business purposes or for your own products where your plan permits API integration.

You own your Customer Data. We own aggregated, anonymised, and statistical information that does not identify you, your users, candidates, applicants, or other individuals.

11. Confidentiality

Each party may receive confidential information from the other. The receiving party must protect that information using reasonable care and use it only for purposes connected with the Service.

Confidentiality obligations do not apply to information that is public, already known without restriction, independently developed, lawfully received from a third party, or required to be disclosed by law.

12. Suspension and termination

You may stop using the Service at any time and may cancel a paid subscription through the dashboard or by contacting support. Cancellation normally takes effect at the end of the current billing period.

We may suspend or terminate access if you breach these terms, fail to pay fees, create security or legal risk, exceed limits, misuse personal data, or use the Service in a way that could harm us, other customers, or individuals.

On termination, your right to use the Service ends. Sections intended to survive termination, including payment obligations, confidentiality, intellectual property, liability limits, and governing law, continue to apply.

13. Disclaimers and liability

To the maximum extent permitted by law, the Service is provided without implied warranties, including implied warranties of merchantability, fitness for a particular purpose, accuracy, uninterrupted availability, and non-infringement.

Nothing in these terms limits liability that cannot legally be limited, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot be excluded under English law.

Subject to the previous sentence, Elemeno Ltd will not be liable for indirect, consequential, special, punitive, or exemplary losses, loss of profits, loss of revenue, loss of goodwill, loss of anticipated savings, loss of data, or business interruption.

Subject to the previous two sentences, our total aggregate liability arising out of or relating to the Service or these terms is limited to the greater of GBP 100 or the fees you paid to us for the Service in the three months before the event giving rise to the claim.

14. Indemnity

You will indemnify Elemeno Ltd against claims, losses, liabilities, damages, penalties, costs, and expenses arising from your Customer Data, your breach of these terms, your misuse of the Service, your products or integrations, or your breach of applicable law.

15. Changes to these terms

We may update these terms from time to time. If changes are material, we will take reasonable steps to notify active customers by email, dashboard notice, or website notice.

Your continued use of the Service after changes take effect means you accept the updated terms.

16. Governing law

These terms and any dispute or claim arising from them are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except where mandatory consumer law gives you rights in another jurisdiction.
